Acceptance of Terms

By accessing and using the services provided by boldpathorium SARL ("Company", "we", "our", or "us"), you ("Customer", "you", or "your") agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users of our restaurant waste management services and website located at boldpathorium.pro. If you do not agree to these Terms, please do not use our services.

boldpathorium SARL is a limited liability company registered in Luxembourg with registration number RCSB314697. Our registered office is located at Rue Aldringen 79, 4236 Differdange, Luxembourg. We provide professional waste management services specifically designed for restaurants and food service establishments.

Service Description

boldpathorium provides comprehensive waste management solutions for restaurants, including:

• General waste collection and disposal
• Food waste management and organic waste processing
• Cooking oil collection and recycling
• Recycling services for various materials
• Regulatory compliance support and documentation
• Waste audit and reporting services

Customer Obligations

As a customer of boldpathorium services, you agree to:

• Provide accurate information about your waste management requirements
• Ensure proper segregation of waste materials according to our guidelines
• Provide safe and accessible collection points for our vehicles
• Pay all fees and charges in accordance with the agreed payment terms
• Comply with all applicable waste management regulations and laws
• Notify us promptly of any changes to your service requirements
• Ensure that waste containers are ready for collection at scheduled times

Service Agreements and Pricing

Service terms, pricing, and collection schedules will be agreed upon in separate service agreements. All prices are quoted in Euros and are subject to applicable taxes. We reserve the right to adjust pricing with reasonable notice in accordance with changes in disposal costs, regulatory requirements, or other operational factors.

Payment Terms

Payment terms will be specified in your service agreement. Late payments may be subject to interest charges and may result in suspension of services. We reserve the right to require payment in advance or security deposits for new customers or in cases of payment default.

Intellectual Property

All content on the boldpathorium website, including but not limited to text, graphics, logos, images, and software, is the property of boldpathorium SARL or its licensors and is protected by Luxembourg and international copyright laws. You may not reproduce, distribute, or create derivative works from our content without express written permission.

Service Availability and Modifications

We strive to provide consistent and reliable waste collection services. However, services may be temporarily interrupted due to weather conditions, equipment maintenance, regulatory requirements, or other circumstances beyond our reasonable control. We reserve the right to modify our services, terms, and pricing with appropriate notice to customers.

Limitation of Liability

To the maximum extent permitted by Luxembourg law, boldpathorium SARL shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services. Our total liability for any claims arising from our services shall not exceed the amount paid by you for services in the twelve months preceding the claim. This limitation does not apply to damages caused by our gross negligence or wilful misconduct.

Indemnification

You agree to indemnify and hold harmless boldpathorium SARL from any claims, damages, or expenses arising from your breach of these Terms, violation of applicable laws, or misuse of our services. This includes reasonable legal fees and costs incurred in defending against such claims.

Regulatory Compliance

Both parties agree to comply with all applicable Luxembourg and European Union waste management regulations, environmental laws, and health and safety requirements. boldpathorium will provide necessary documentation and support to ensure regulatory compliance for waste disposal activities.

Termination

Either party may terminate service agreements with appropriate notice as specified in the individual service contract. Immediate termination may occur in cases of material breach, non-payment, or violation of safety requirements. Upon termination, all outstanding fees become immediately due and payable.

Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, government actions, strikes, natural disasters, or other force majeure events. Services will resume as soon as reasonably practicable after such events conclude.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Luxembourg. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the Luxembourg courts. The parties agree to attempt to resolve disputes through good faith negotiation before pursuing legal action.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remainder of these Terms shall remain in full force and effect and enforceable.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to customers with reasonable advance notice. Continued use of our services after such changes constitutes acceptance of the modified Terms.
